AMCI Acquisition II Inks FPA for 10M Shares to Support LanzaTech Deal

AMCI Acquisition Corp. II in an 8-K said it has signed a forward purchase agreement with ACM ARRT H for the purchasde of up to 10 million of the SPAC’s shares, including redeemed shares, prior to AMCI closing its merger LanzaTEch, if the deal is approved.

One business day after closing, the SPAC will pay ACM ARRT H the redemption value of the 10 million shares, less $2.5 million that will be held in the SPAC’s trust.

As of Feb. 3 the SPAC held about $152 million in trust.

AMCI II in December amended terms of its merger agreement with LanzaTech in the acquiror closing cash amount, which was lowered from $250 million to $230 million.

Founded in 2005, LanzaTech is a carbon capture company that combines synthetic biology and engineering to transform waste carbon into materials and high-value products, including sustainable fuels, fabrics and packaging. Read more.
