Bespoke Capital Acquisition announced that shareholders voted to approve its proposed merger with Vintage Wine Estates. The SPAC said in an SEC filing that 91.86 percent of voting shares were cast in favor of the deal.
Announced in February, the combined company has a pro forma implied market capitalization and enterprise value of approximately $690 million plus more than $50 million of potential deferred consideration.
The combined company will be named Vintage Wine Estates. Funds managed by Wasatch Global Investors acquired a $28 million stake in VWE from existing investors prior to the signing of the merger agreement.
