Vesper Healthcare filed a preliminary prospectus on its proposed $1.1 billion business combination with HydraFacial, a beauty health platform with a community of estheticians, consumers and partners, bridging medical and consumer retail.
The purchase price consists of $975 million payable at closing and up to $75 million payable upon the completion of certain identified acquisitions by the combined company. Read more.
