The transaction is expected to provide up to $317 million of net cash proceeds.

The SPAC raised $300 million in an IPO nearly two years ago. East Resources was launched with the intention of targeting North American energy companies.

The transaction will result in gross proceeds of approximately $430 million to Amprius, less any redemptions.

As announced in December, estimated cash proceeds on the deal are expected to be $247.2 million.

The combined company is expected to have more than $82.5 million in gross proceeds at closing.

The deal is still expected to close in the second half of 2022, with the combined company listing on the Nasdaq.

As announced in June 2021, terms provide for a valuation of VIYI Algo and its subsidiaries and businesses of $400 million.

The SPAC has secured a deadline extension until November to close the deal. A vote on that extension saw 12% of the SPAC's trust redeemed in April.

The two parties earlier this week amended their share purchase agreement to reduce the consideration payable by the SPAC and limit the earn-out payment available to the seller of EUDA Health.

The SPAC intends to acquire Safe Harbor for $185 million, of which $70 million will be paid in cash and $115 million in shares.
