Kensington Capital Acquisition II and Wallbox Announce Final Exchange Ratio Ahead of Upcoming Merger Vote

Kensington Capital Acquisition II and Wall Box Chargers, S.L. announced that they have determined the share exchange ratio to be 240.990816528527 on the closing date of their proposed merger. The SPAC’s shareholderrs are scheduled to vote on the deal Thursday.

If approved, the EV charging company will list on the NYSE under WBX.

The exchange ratio as of the anticipated date for closing is higher than the exchange ratio that was set out in the proxy statement/prospectus dated Sept. 20.

The transaction is expected to deliver proceeds of approximately $330 million to Wallbox, including a $100 million fully committed PIPE anchored by Janus Henderson Investors, Luxor Capital, Cathay Innovation and Kensington Capital Partners.

The combined company is valued at $1.5 billion. Read more
