LAMF Global Ventures I Postpones Vote on Nuvo Deal

LAMF Global Ventures I said it intends to convene and adjourn, without conducting any business, the shareholders meeting scheduled for March 28, when a vote was expected on the SPAC’s proposed merger with Nuvo Group. The meeting will now be held April 1 at 11 a.m. Eastern. The extra time is to give shareholders the opportunity to review a prospectus supplement SPAC intends to file.

The redemption deadline is now March 28 at 5 p.m.

Nuvo Group has developed an FDA-cleared remote pregnancy monitoring platform.

The transaction at deal announcement last August valued Nuvo at a pre-money equity valuation of $269 million and up to approximately $300 million in earnouts upon Nuvo achieving certain commercial milestones.

The SPAC’s board recently extended the deal deadline to April 16. LAMF has one more month it can extend, if necessary, before another shareholder vote would be required. Read more
