EDOC Acquisition Slates Vote Date on Australian Oilseed Deal

EDOC Acquisition called a Feb. 26 meeting for shareholders to vote on the proposed combination with Australian Oilseed now that the registration statement on the deal has been declared effective by the SEC.

If approved, the merged enterprise is expected to trade on the Nasdaq with shares and warrants listed under the ticker symbols COOT and COOTW.

The transaction had a post-combination valuation of $190 million when announced in December 2022. The SPAC closed a $90 million IPO in November 2020. Its market cap now is just below $44 million.

Australian Oilseeds Investments directly and indirectly through its subsidiaries is focused on the manufacture and sale of sustainable, eedible oilseeds, with the goal of working with all suppliers in the food supply chain to eliminate chemicals from the production and manufacturing systems to supply quality products to customers globally.

I-Bankers Securities serves as EDOC’s capital markets advisor on the deal, Ellenoff Grossman & Schole is acting as U.S. legal counsel, with Maples and Calder (Hong Kong) acting as the Cayman counsel and Clayton Utz acting as the Australian counsel to EDOC. Read more.
