LiveOne Spin-Out to Direct List on Nasdaq

LiveOne today announced that its subsidiary, Courtside Group, (dba PodcastOne) will ring the Nasdaq opening bell on Friday, Sept. 8 to celebrate completion of its direct listing and spin-out as a separate public company. 

After the spin-out, LiveOne will own approximately 80% of PodcastOne (on a non-fully diluted basis) and continue to consolidate PodcastOne’s financial results.

The listing is for 7,443,664 shares. Nasdaq will calculate the reference price at opening, according to the company’s S-1.

LiveOne is a creator-first music, entertainment, and technology platform.

PodcastOne is a Los Angeles based podcast network founded in 2012 by Kit Gray and Norm Pattiz providing creators and advertisers with sales, marketing, public relations, production, and distribution delivering over 2.1 billion downloads per year.
