BCGF Acquisition Cuts Deal Size 43% Ahead of $50M IPO

BCGF Acquisition in an amended S-1 said it now plans to offer 5 million units at $10 each, down from the 8.7 million units initially registered in August 2022. A unit now consists of one share, a warrant and a newly added right to receive one-tenth of a share at the close of a business combination.

BCGF is focused on the biotech sector. The SPAC in the filing said it will not consider any business in China, including Hong Kong and Macau.

CEO and Chairman Tassapon Bijleveld has served since 2007 as a director, and since 2018 as executive chairman, of Asia Aviation, a holding company investing in low-fare airlines and businesses. He was CEO of that company from 2007 to 2018.

EF Hutton is managing the offering.
