Venus Acquisition in a regulatory filing today asked the SEC to withdraw an S-4 registration for stock that was to be issued in connection with the SPAC’s proposed acquisition of VIYI Algorithm.
The SPAC’s most recent amended S-4, filed in July, called for the issuance of 39,603,961 shares to VIYI, a company that integrates central processing algorithms with clients’ software and hardware. That was the 8th amendment to the S-4 since it was originally filed in June 2021.
Venus earlier this week filed a proxy seeking a deadline extension until Dec. 11 to close the deal.
There was no mention of VIYI Algorithm in today’s withdrawal filing, nor has the SPAC issued any statement as of late this afternoon on the fate of the deal. Read more.
