Nature’s Miracle, a tech company engaged in the controlled environment agriculture industry, and Lakeshore Acquisition II announced a definitive merger agreement. If approved, upon closing, the combined company is expected to change its name to Nature’s Miracle Holding and trade on the Nasdaq.
In exchange for their equity securities, Nature’s Miracle stockholders will receive an aggregate number of shares of common stock of Lakeshore equal to $230 million, less any closing net indebtedness.
Nature’s Miracle provides hardware as well as software to design, build and operate various indoor growing settings including greenhouse, vertical farming and indoor-growing spaces. The company operates two wholly-owned subsidiaries, Visiontech Group and Hydroman, which provides grow lights as well as other hydroponic products.
