Nasdaq Sends Delisting Warning to EdtechX Holdings Acquisition II

EdtechX Holdings Acquisition II in a regulatory filing said the Nasdaq sent notice of potential delisting because the SPAC did not hold an annual stockholders meeting, as required within 12 months of its fiscal year ending June 30, 2021. The SPAC in the filing said it would submit a plan to regain compliance by the Aug. 19 deadline to do so.

EdtechX II in May announced a merger agreement with zSpace, a provider of commercial augmented reality and virtual reality technology in the global education market. The business combination implies a pro forma enterprise value of $195 million.

If approved, zSpace Technologies would list on the Nasdaq under the new ticker symbol ZSPX. Read more.
