CHP Merger Files Prelim Prospectus on $482M Accelus Deal

CHP Merger filed a Form S-4 oultling its proposed business combination with Integrity Implants d/b/a Accelus. The deal gives the merged companies an enterprise value of $482 million.

Funding will come from $300 million held in the SPAC’s trust, as well as $414 million in Accelus rollover equity, according to a slide deck filed in an 8-K (p. 34).

Based in Palm Beach Gardens, Florida, and established through the combination of Integrity Implants Inc. and Fusion Robotics, LLC, Accelus is a commercial stage medical technology company with a mission to accelerate the adoption of minimally invasive surgery. Read more.
