USA Acquisition registered to offer 15 million units, each priced at $10 and consisting of one share of Class A common stock and one-half of a warrant.
The sponsor has committed to the purchase of up to $7.4 million in warrants.
USA Acquisition is broadly focused on tech firms. The SPAC is led by Chairman and Director W. Carter McClelland, who began his career at Morgan Stanley and ultimately became the firm’s Chief Administrative Officer and a member of its operating committee. He co-founded Morgan Stanley’s technology investment banking group.
Jefferies and BTIG are joint book-running managers.
