American Acquisition Opportunity to Restate Financials for Warant Accounting

American Acquisition Opportunity in an 8-K filing said it would refile quarterly reports for the periods ending March 31 and June 30, based on a review of SEC statements on accounting for warrants.

As with scores of other SPACs filing amended financials after the SEC’s market-shaking statement in April, American Acquisition going forward will classify warrants as liabilities, not equity instruments.

The SPAC raised $100 million in March for the acquisition of a land and resource holding company with the potential to create, support, and/or innovate for the new economy. Read more.
