Learn CW Investment in an amended S-1 filing trimmed its planned offering to 20 million units, down from the 25 million initially registered with the SEC in March.
A unit now consists of one share and one-half of one redeemable warrant; whole warrants exercisable at $11.50. In the initial filing, each unit included a third of a warrant.
The SPAC in the filing said it still plans to target businesses in the EdTech industries.
The SPAC’s sponsor is an affiliate of Learn Capital and Commonwealth Asset Management Founded in 2008, Learn Capital is a VC firm focused on early-stage and mid-stage investments in the $5.4 trillion global education sector. Commonwealth Asset Management Holdings is a Los Angeles-based platform founded in 2019 and led by Adam Fisher, the SPAC’s president and the former Head of Global Macro and Real Estate at Soros Fund Management.
