New SPAC Rules on the Horizon: SEC Publishes Spring Agenda

The SEC released its spring agenda of regulatory priorities, mentioning unspecificed rule changes that would impact SPACs.

“The Division [of Corporate Finance] is considering recommending that the Commission propose rule amendments related to special purpose acquisition companies,” the regulator said, without citing specifics.

Already this year the SEC has thrown a wrench into SPAC operations through a statement on changing the accounting for warrants from assets to liabilities. Regulators are also mulling to what extent SPACs should enjoy safe harbor protections. And there are rumbling the SEC may crack down on financial projections made by blank-check companies.
