Waldencast Acquisition today closed its upsized IPO of 34.5 million units at $10 each, including 4.5 million units issued pursuant to the exercise by the underwriters of their over-allotment option in full.
Units listed on the Nasdaq under WALDU.
In connection with the IPO, Waldencast entered into a forward purchase agreement with sponsor Waldencast Long-Term Capital and Dynamo Master Fund, fior shares and warrants up to $160 million.
The SPAC said it also entered into a third-party forward purchase agreement with Beauty Ventures for the purchase of up to $173 million in shares and warrants.
The SPAC intends to focus its search for a target business operating in the beauty, personal care and wellness sectors. Read more.
