SilverBox Engaged Merger I Files for $300M IPO

SilverBox Engaged Merger I registered with the SEC to offer 30 million units at $10 each.

Sponsors SilverBox Capital and Engaged Capital said in the filing they both intend to collaborate to sponsor a series of SPACs. Engaged Capital expects to enter into up to five forward purchase agreements of $100 million each across five SPACs to be sponsored by the Founder Group prior to the effectiveness of the initial registration statement , beginning with a firm commitment of $100 million.

The SPAC will leverage the expertise and background of its leadership team to identify an acquisition with an aggregate enterprise value greater than $1 billion.

The SPAC is led by Executive Chairman Joseph Reece, a co-founder and managing member of SilverBox Capital. He founded merchant bank Helena Capital in April 2015 and serves as CEO. Reece is also a consultant to BDT & Company. He previously served as executive vice chairman and head of UBS Securities’ Investment Bank for the Americas from February 2017 to September 2018.
