HydraFacial and Vesper Healthcare Acquisition today announced that they have entered into a definitive merger agreement.
The transaction has a pro forma enterprise value of $1.1 billion, the companies said. The purchase price consists of $975 million payable at closing and up to $75 million payable upon the completion of certain identified acquisitions by the combined company.
HydraFacial is a beauty health platform with a community of estheticians, consumers and partners, bridging medical and consumer retail to democratize and personalize skin care solutions.
Vesper was co-founded by Brent Saunders, former CEO of Allergan, Forest Laboratories, and Bausch + Lomb. Read more.
