Monteverde Associates law firm said it is investigating Haymaker II relating to the SPAC’s proposed acquisition of Arko Holdings. Haymakewr on Nov. 6 filed a proxy on the proposed merger.
“The investigation focuses on whether Haymaker Acquisition Corp. II and its Board of Directors violated securities laws and/or breached their fiduciary duties to the company by 1) failing to conduct a fair process, 2) whether the proposed transaction is properly valued, and 3) whether all material information has been disclosed to shareholders,” the law firm said in a press release.
