AMCI Shareholders Approve Advent Merger

AMCI Acquisition in an 8-K filing announced today that its shareholders voted in favor of the business combination with Advent Technologies. About 8.2 million shares were voted to approve the deal, 8,444 were voted against, and 1,606 shares were redeemed for cash.

Renamed Advent Technologies Holdings, the new company develops fuel cells and hydrogen technology.

The deal values the company at $358 million pro forma post-money enterprise value at a share price of $10. Institutional investors have committed to a $65 million PIPE in the form of 6.5 million shares of common stock of the combined company at a price of $10 per share. Read more.
